Submission Agreement

We may refer your submission to a number of IBM employees, and we may consult others outside of IBM to help determine its value to us. Therefore, we cannot treat your submission, or any personal information you submit as a secret or confidential disclosure. We will include your copyright notice, if any, in any copies we make, but we will not be bound by any other restrictive legends on your material.

Following our receipt of the agreement, your submission will be reviewed to the extent that it, in our judgment, requires consideration. We will advise you whether or not we are interested, but we will not give the reasons for our decision or reveal similar IBM activities. No confidential relationship of any kind will exist or arise between us or between you and any others to whom IBM provides your submission, and no obligation of any kind is assumed by, or to be implied against, IBM or the others with respect to your submission or its use. IBM will be free to reproduce, use, and disclose your submission to others without limitation, subject to your rights as defined by any valid patent claims or under national copyright laws.

Nothing contained in the agreement, or the receipt and consideration of your submission, prevents IBM from contesting the validity or infringement of your rights. We are not responsible for either the material or the information that it contains. IBM is free to develop, acquire, or market products or services competitive with those offered by you. IBM is not responsible for any of your expenses associated with the protection of your rights, your attorney fees, or your submission.

This agreement is governed by the laws of the State of New York and the intellectual property laws of the United States of America. No party to this agreement will bring a legal action under this agreement more than one year after the cause of action arose. Each party waives its rights to a jury trial in any resulting litigation.

I have read the agreement and in consideration of IBM's willingness to examine my submission, I agree to the terms and conditions of the agreement. I also agree that the agreement applies to all information relating to my submission, regardless of when I submit it, that it applies broadly to IBM and to all of its subsidiary companies, and it may only be modified or waived in writing, signed by both IBM and me.

I warrant that this submission has not been solicited by IBM, that I have the unrestricted right to disclose it to IBM and/or dispose of it, and that I am of legal age and otherwise competent to enter this agreement. The agreement constitutes our entire understanding with respect to this submission.
